Sponsor Representative. The Sponsor will designate one or more representatives who will be available to assist the Asset Representations Reviewer in performing the Asset Representations Review, including responding to requests and answering questions from the Asset Representations Reviewer about access to Sponsor Review Materials on the Sponsor’s originations, receivables or other systems, obtaining missing or insufficient Sponsor Review Materials and/or providing clarification of any Sponsor Review Materials or Tests.
Sponsor Representative. The primary contact at Sponsor for communications in connection with the conduct of each Project will be provided by Sponsor to MSKCC (“Sponsor Representative”).
Sponsor Representative. (a) The Company and the Insiders will take all appropriate steps to ensure that the board of directors of the Company consists of seven (7) members or as otherwise determined by the Sponsor in accordance with the Charter.
(b) The Sponsor shall be entitled to designate one (1) representative (the “Sponsor Representative”) and the directors of the Company will, in accordance with the Charter, appoint that Sponsor Representative to the board of directors of the Company as a director of the Company.
(c) In the event that any Sponsor Representative is unable for any reason including lack of qualifications or refusal to serve as a director, then the Sponsor shall be entitled to name a new nominee to fill such position and the directors of the Company will, in accordance with the Charter, appoint that Sponsor Representative to the board of directors of the Company as a director of the Company.
(d) The Company agrees that the Sponsor Representative shall be indemnified by the Company for his or her conduct as a director to the same extent and in the same manner as the current and other directors of the Company are currently indemnified and shall be included on the policy of directors and officers insurance to the same extent as all other directors.
(e) Each of the Insiders acknowledges and agrees not to take any action resulting in the Company incurring, accruing or being obligated to any expenditure of $50,000 or greater, without the prior written consent of the Sponsor Representative.
Sponsor Representative. 13.1 The Sponsor has designated _, as its representative for purposes of this Agreement. The Sponsor’s representative is authorized to act on the Sponsor’s behalf to carry out the terms of this Agreement, including providing instructions and payment to the League. If the Sponsor’s representative changes, the Sponsor shall provide The League with notice in writing within five (5) days of such change.
Sponsor Representative a. The individual named as the Sponsor’s contact person on page 1 of this Agreement shall act as manager of the event, ensuring that all aspects of the event comply with ECAC/SRC policies and guidelines. This includes, but is not limited to, the activities of the florists, performers and/or entertainers, delivery personnel, and caterers. Sponsor’s contact person shall also serve as Sponsor’s agent for the receipt of notices under this Agreement, at the address shown as the Sponsor’s address on page 1 of this Agreement.
