Specific Limitations on the General Partner’s Authority. Notwithstanding anything to the contrary contained in this Agreement, the General Partner shall have no right, power, or authority, without the prior approval (which shall not be unreasonably withheld or delayed) to the specific act in question by Partners owning, in the aggregate, at least two-thirds (2/3) of the Voting Interests, to effectuate any one or more of the following acts:
