Restrictions on the General Partner’s Authority. Except as provided in Article XII and Article XIV, the General Partner may not sell, exchange or otherwise dispose of all or substantially all of the assets of the Partnership Group, taken as a whole, in a single transaction or a series of related transactions without the approval of a Unit Majority; provided, however, that this provision shall not preclude or limit the General Partner’s ability to mortgage, pledge, hypothecate or grant a security interest in all or substantially all of the assets of the Partnership Group and shall not apply to any forced sale of any or all of the assets of the Partnership Group pursuant to the foreclosure of, or other realization upon, any such encumbrance.

Restrictions on the General Partner’s Authority. (a) The General Partner may not, without written approval of the specific act by holders of all of the Outstanding Limited Partner Interests or by other written instrument executed and delivered by holders of all of the Outstanding Limited Partner Interests subsequent to the date of this Agreement, take any action in contravention of this Agreement, including, except as otherwise provided in this Agreement, (i) committing any act that would make it impossible to carry on the ordinary business of the Partnership; (ii) possessing Partnership property, or assigning any rights in specific Partnership property, for other than a Partnership purpose; (iii) admitting a Person as a Partner; (iv) amending this Agreement in any manner; or (v) transferring its interest as a general partner of the Partnership.

Restrictions on the General Partner’s Authority. The General Partners shall not have authority to do any of the following: (a) act in contravention of this Agreement or of the 1940 Act; (b) possess Partnership property or assign the rights of the Partnership in specific property for other than a Partnership purpose; (c) admit any other Person as a general partner of the Partnership without the unanimous approval of the Partners except as otherwise provided herein; this provision shall not restrict the right of a Majority in Interest of the Limited Partners to approve and elect a successor General Partner pursuant to Section 12.05; (d) commingle or permit the commingling of the funds of the Partnership with the funds of any other Person except as otherwise provided herein; (e) permit any Person who makes a nonrecourse loan to the Partnership to acquire, at the time and as a result of making the loan, any direct or indirect interest in the profits, capital, or property of the Partnership other than as a secured creditor; (f) without the consent of a Majority in Interest of the Limited Partners, subject to paragraph 14.02, (i) elect to dissolve the Partnership or (ii) sell or otherwise dispose of at any one time all or substantially all of the assets of the Partnership; or (g) invest in a company in which any General Partner has an equity interest other than through another partnership that it manages.
