Common use of Specific Authorization Clause in Contracts

Specific Authorization. The Partnership, and the General Partner on behalf of the Partnership, may enter into and perform each of the Loan Documents, the Contingent Interest Promissory Note, the Permitted Interest Rate ▇▇▇▇▇▇, the Investment Advisory Agreement and any documents contemplated thereby or related thereto and any amendments thereto, without any further act, vote or approval of any Person, including any Partner, notwithstanding any other provision of this Agreement. The General Partner is hereby authorized to enter into the documents described in the preceding sentence on behalf of the Partnership, but such authorization shall not be deemed a restriction on the power of the General Partner to enter into other documents on behalf of the Partnership.

Specific Authorization. The Partnership, and the General Partner on behalf of the Partnership, may enter into and perform each of the Loan DocumentsSubscription Agreements, the Contingent Interest Promissory Noteas well as any BDC Subscription Agreement, the Permitted Interest Rate ▇▇▇▇▇▇, the Investment Advisory Agreement and any documents contemplated thereby or related thereto and any amendments thereto, without any further act, vote or approval of any Person, including any Partner, notwithstanding any other provision of this Agreement. The General Partner is hereby authorized to enter into the documents described in the preceding sentence and Side Letters and other agreements entered into in accordance with Section 11.5 on behalf of the Partnership, but such authorization shall not be deemed a restriction on the power of the General Partner to enter into other agreements and documents on behalf of the PartnershipPartnership (subject to any other restrictions expressly set forth in this Agreement).

Specific Authorization. The Notwithstanding any other provision of this Agreement, the Partnership, and the General Partner on behalf of the Partnership, may enter into execute, deliver and perform each any agreement directly relating to the purchase by any Person of interests in the Loan DocumentsPartnership, the Contingent Interest Promissory Note, the Permitted Interest Rate ▇▇▇▇▇▇, the Investment Advisory Agreement and any documents contemplated thereby or related thereto and any amendments theretoto such agreements, all without any further act, approval or vote or approval of any Partner or other Person, including any Partner, notwithstanding any other provision of this Agreement. The General Partner is hereby authorized to enter into the documents described in the preceding sentence and perform on behalf of the PartnershipPartnership the agreements described in the immediately preceding sentence, but such authorization shall not be deemed a restriction on the power of the General Partner to enter into the Basic Documents (subject to any other documents on behalf of the Partnershiprestrictions expressly set forth in this Agreement).
