Special Meetings of the Stockholders. Except as otherwise required by law and subject to the rights of the holders of any series of Preferred Stock, special meetings of the stockholders of the Corporation for any purpose or purposes may be called at any time only by or at the direction of the Board or the Chairman of the Board.

Except as otherwise required by law and subject to the rights of the holders of any series of Preferred Stock, special Special meetings of the stockholders of the Corporation for any purpose or purposes may be called at any time only and for any purpose or purposes by (i) the chairman of the board or the chief executive officer, (ii) the chairman of the board, the chief executive officer or the secretary of the corporation at the direction request of a majority of the Board board of directors, or (iii) the chairman of the board or the Chairman secretary of the Boardcorporation at the request of stockholders holding a majority of the corporation’s outstanding shares of Common Stock (as hereinafter defined), or as otherwise authorized by statute, the Certificate of Incorporation or these bylaws.
