Special Initial Distribution Sample Clauses

Special Initial Distribution. Notwithstanding Section 4.1(a) hereof, as soon as practicable but in no event later than ninety (90) days following the Effective Date, the Company shall make a one-time Distribution of cash to S▇▇▇ (the “S▇▇▇ Special Initial Distribution”) and a one-time Distribution of cash to A▇▇▇▇ Steel (the “A▇▇▇▇ Steel Special Initial Distribution”), in each case in an amount equal to the lesser of (i) the Third Party Indebtedness of A▇▇▇▇ Steel on the date of this Agreement and (ii) [•]. Neither Sims nor A▇▇▇▇ shall be entitled to any additional distribution to satisfy any tax obligation due and owing as a result of either the S▇▇▇ Special Initial Distribution or the A▇▇▇▇ Special Initial Distribution.
