Software Currency Sample Clauses

Software Currency. The Parties agree to maintain reasonable currency for Maintenance Releases and Versions of Software, unless CHMS determines otherwise. For purposes of this Section, "reasonable currency" shall mean that the next Maintenance Release or Version is installed not later than the longer of (a) 24 months after the date the licensor makes such Maintenance Release or Version commercially available, or (b) within 1 month after the date the licensor makes a subsequent Maintenance Release or Version commercially available which causes CHMS to be more than one Maintenance Release or Version behind. In the event CHMS requests ISSC to expedite installation of a Maintenance Release or Version or to delay upgrading of specific Software beyond such period or requires operation and maintenance of multiple versions of Software, ISSC shall do so, provided, that if ISSC reasonably determines that it will incur any Out-of-Pocket Expenses as a result of such requests (e.g., Software support costs due to withdrawal of maintenance by the licensor, multiple version charges, etc.), then ISSC January 4, 1996 Agreement - Execution Document Page 18 of 53 25 will notify CHMS of the amount of such Out-of-Pocket Expenses in writing and CHMS, at its option, will either delay installation of such Maintenance Release or Version or update the Software to the current level (as applicable) or reimburse ISSC for any demonstrable Out-of-Pocket Expenses. In addition, CHMS shall relieve ISSC from any failure to meet a Performance Standard or Minimum Service Level to the extent directly impacted by the delay of the next Maintenance Release or Version until such time as the affected Software is brought to "reasonable currency" as defined in this Section 3.10.

Software Currency. Contractor represents, warrants and covenants that, unless otherwise agreed and to the extent it has operational responsibility under this Agreement, it shall maintain the reasonable currency for Software (including Contractor’s and third party software currency to N or N-1) so that they operate in accordance with the Service Levels and their Specifications.
Software Currency. (a) Currency of Software. Subject to and in accordance with Sections 9.3, 9.4, and Exhibit 4.2 Financial Responsibility Matrix, Successful Respondent shall maintain reasonable currency for Software for which it is financially responsible under this Agreement and provide maintenance and support for Software (including new Upgrades, Major Releases, and Minor Releases) for which it is operationally responsible under this Agreement. Successful Respondent shall (i) maintain Software within one (1) Major Release of the then-current Major Release, unless otherwise specified pursuant to the Software Currency guidelines set out in Exhibit 4.2 Financial Responsibility Matrix and (ii) Successful Respondent shall install Minor Releases promptly or, if earlier, as requested by DIR.
