Software Code. For some components of the Bergamot project (e.g. ▇▇▇▇▇▇ for MT, deep- Quest and OpenKiwi for QE), we rely on an existing code base; the browser extension will be developed from scratch. In addition to the code written by the software developers, software test- ing by developers and users will result in bug reports and subsequent online discussions. These bug reports and subsequent discussions will be filed and preserved in issue trackers associated with the respective software repos- itories.

Software Code. As soon as reasonably practicable, and in no event more than thirty (30) calendar days after the Closing Date (but in no event before transferring all of its Software included in the Purchased Assets to Purchaser), each Seller will (a) using industry standard methods, destroy, and cause its Affiliates to destroy, all copies of such code which are retained in electronic form on any electronic media or other items of tangible personal property that constitute Purchased Assets in a Seller’s or its Affiliates’ custody, possession or control; and (b) cause an officer of each Seller to certify to Purchaser in writing that such delivery and destruction has occurred by executing a document in the form reasonably acceptable to Purchaser.
Software Code. The computer program code for the Software "As Is" without any representation and warranties and with all applicable disclaimers as set forth in the E▇▇▇, both object and source code, and authorization codes and guidelines for all four platforms; provided, however, that Seller shall deposit the source code and authorization codes with an escrow agent at the Closing of this Agreement. The source code and authorization codes shall be automatically released to Buyer when Seller receives payment in full of the Purchase Price pursuant to the terms of this Agreement. If Seller does not receive payment in full of the Purchase Price pursuant to the terms of this Agreement, Seller shall so certify to the escrow agent, and the source code and authorization code shall be automatically released to Seller.
Software Code. (09/17) Inclusion of Illicit Code as set forth in Section 5.3.5, shall be considered a Material Breach of this Contract and no notice or cure period will apply. In addition to any other remedy available to it under this Contract with respect to any such Material Breach, the City reserves the right to pursue any civil and/or criminal penalties available to it against Contractor, including without limitation the Computer Fraud and Abuse Act, Deceptive Trade Practices & Consumer Protection Act, the Computer Crimes Law and any other remedy at law or equity.
