Common use of Situs of Trust Clause in Contracts

Situs of Trust. The Trust will be located in the State of Delaware and administered in the State of Illinois. All bank accounts maintained on behalf of the Trust shall be located in the States of Delaware, Illinois, New York or Minnesota, or such other States as directed by the Depositor. The Trust shall not have any employees in any state other than Delaware; provided, however, that nothing herein shall restrict or prohibit the Owner Trustee from having employees within or without the State of Delaware. Payments will be received by the Trust only in Delaware, Illinois, New York or Minnesota, or such other States as directed by the Depositor, and payments will be made by the Trust only from Delaware or New York, or such other States as directed by the Depositor. The only office of the Trust shall be the principal corporate trust office of the Owner Trustee located at its Corporate Trust Office.
