Common use of Simultaneous acquisition Clause in Contracts

Simultaneous acquisition. On Completion the Purchaser shall not be obliged to complete the purchase of the Shares unless the purchase of 100% of the Company’s Shares has been completed. If for some reason, after Completion takes place, it transpires that the Purchaser did not acquire 100% of the Shares on the day of Completion, the completion of the purchase of some of the Shares shall not affect the rights of the Purchaser with respect to acquiring the entire amount of any such remaining Shares.
