The Seller understands that significant changes may be made in the capitalization and/or stock ownership of GSMC, which changes could involve a reverse stock split and/or the issuance of additional shares, thus possibly having a dramatic negative effect on the percentage of ownership and/or number of shares owned by present shareholders of GSMC.
