Common use of Side Letters Clause in Contracts

Side Letters. The Manager, on behalf of the Company or any Series, without the approval of, or notice to, any Member or any other person, may enter into a side letter or similar agreement to or with a Member that has the effect of establishing rights under, or altering or supplementing the terms of this Agreement, a Series Designation or any Subscription Agreement, including but not limited to, Management Fees, withdrawal rights and information rights. Any terms contained in a side letter or similar agreement to or with a Member will govern with respect to such Member notwithstanding the provisions of the Agreement, the applicable Series Designation or any Subscription Agreement and will not be disclosed to any prospective Member or any other Member.
