Side Letters. All side letters are non-enforceable as of the effective date of this MOU unless the parties expressly add them to the MOU.
Side Letters. Notwithstanding anything to the contrary contained herein, it is hereby acknowledged and agreed that the General Partner, on its own behalf or on behalf of the Partnership, and without the approval of any Limited Partner or any other Person, may enter into a side letter or similar agreement (collectively, “Side Letters”) with one or more Limited Partners which has the effect of establishing rights under, or altering or supplementing the terms hereof. As a result of such Side Letters, certain Limited Partners may receive additional benefits, which may be more favorable than those offered to any other Partners. The parties hereto agree that any terms contained in a Side Letter with one or more such Persons shall govern with respect to such Persons notwithstanding anything to the contrary contained herein. Except as required by applicable law, the General Partner will not be required to notify all Limited Partners of any such Side Letters or any of the rights or terms or provisions thereof, and will not be required to offer such additional or different rights or terms to all Limited Partners.
Side Letters. All side letters or other agreements not attached to or incorporated into this Memorandum are no longer valid. This MOU constitutes the entire agreement between the Association and the County.
Side Letters. 10. The parties agree that any and all side letters, and other understandings between the parties not expressly memorialized and appended to this Agreement shall no longer be enforceable. No side letters affecting matters within the authority and control of SFMTA shall be binding unless they have been dated and signed by TWU and the SFMTA Executive Director, appended to this Agreement, and approved by the SFMTA Board of Directors where appropriate. Furthermore, all future side letters must contain an expiration date no later than the expiration date of this Agreement. However, if during the term of this Agreement, a court of competent jurisdiction or the Public Employment Relations Board issues a final judgment invalidating the provisions of Charter Section 8A.104(q), there shall be no expiration date requirement for side letters entered into after the date of such judgment.
Side Letters. The Fund has provided the Investor with true, complete and correct copies of the form of all letters, agreements, undertakings, and other documents by and among the Fund, its adviser or any person acting with respect to either, on the one hand, and any Investor, on the other hand, relating to such Investor’s purchase of Fund Shares or any terms, conditions, operations, obligations or other understandings affecting the Fund.
Side Letters. Parent agrees that neither it nor its Affiliates (including without limitation, ZM Capital, L.P. and any of its Affiliates) have entered into nor will enter into a side letter or similar agreement with any Other Investor that has the effect of establishing rights or otherwise benefiting such Other Investor in a manner more favorable in any respect than the rights and benefits established in favor of the Equity Provider pursuant to the terms hereof, the Alloy Media Holdings, L.L.C. Limited Liability Company Agreement Term Sheet and the Interim Investors Agreement, unless the Equity Provider will be entitled to the same rights and benefits granted under each such side letter or similar agreement. Any such side letter or similar agreement shall be provided to the Equity Provider immediately upon execution by the parties thereto. Side Letters. The Manager, on behalf of the Company or any Series, without the approval of, or notice to, any Member or any other person, may enter into a side letter or similar agreement to or with a Member that has the effect of establishing rights under, or altering or supplementing the terms of this Agreement, a Series Designation or any Subscription Agreement, including but not limited to, Management Fees, withdrawal rights and information rights. Any terms contained in a side letter or similar agreement to or with a Member will govern with respect to such Member notwithstanding the provisions of the Agreement, the applicable Series Designation or any Subscription Agreement and will not be disclosed to any prospective Member or any other Member.
Side Letters. No later than May 31, 2015, ESC and the County shall identify and exchange copies of all known side letters between the parties. Any side letter that is not produced and exchanged by May 31, 2015 shall terminate on June 1, 2015. In meeting and conferring for a successor MOU, the parties will consider each identified and exchanged side letter to determine whether each side letter that has not terminated by its own terms continues to be valid and/or should be terminated or included in the successor MOU.
Side Letters. Effective July 1, 2007, all side letters executed by both parties not specifically referenced by the current Memorandum of Understanding shall expire and be of no further force or effect. The current MOU as printed will represent all MOU agreements between Local 145 and the City.
Side Letters. A. The current MOU will represent all agreements between the Union and the City including agreements in effect at the departmental level.
