Side Agreements. Except as disclosed on the attached "Side Agreements Schedule," neither TransCore nor any Affiliate nor any director, officer or employee of TransCore or any Affiliate has entered into, as of the date hereof, any side agreement, either oral or written, with any individual or business, pursuant to which the director, officer, employee, Company or such Affiliate has agreed to do anything beyond the requirements of the formal, written contracts executed by TransCore.
