SHIPMENT TERMS AND CONDITIONS. 4.1. Not later than at the beginning of the month of delivery but in any case not later than 15 days prior to the 1st day of laycan the Sellers shall advise the Buyers the quantity of goods to be delivered during the months of delivery and 2 -day loading period agreed upon with the coordinators of the port (such loading period will be final and binding for both Parties) and latest than 5 days prior to the 1SL day of the loading period will notify the Buyers about readiness of goods for the shipment. In case Seller for whatever reasons is not in a position to make loading date range nomination to Buyer with 15 days pre-advice and correspondingly intends to make nomination with shorter pre-advice, then Parties will negotiate in good will to find a fan-solution to such situation. The Buyer not later than 10 days prior to the 1st day of the loading period shall nominate to the Sellers a vessel specifying all necessary characteristics required for her acceptance. Within 1 working day from the date of nomination the Seller shall either accept the vessel to the Buyers or request her substitute, which shall be duly justified. The Buyer on agreement with the Seller can substitute an accepted vessel with another similar one. The substitute shall not be unreasonably withheld by the Seller. 4.2 Seller will be liable and responsible for any and all costs incurred by Buyers as a result of loading at the designated loadport /place. Such costs shall be pro rated for part cargo. Sellers to pay such costs immediately on receipt of buyers Invoice. Such costs include but are not restricted to the following : 1) For all loadings from the port of Primorsk: Costs as incurred all year including but not limited to waiting time at the ice edge and-or waiting for ice breakers, both inbound to loadport and outbound from loadport - if nor is tendered at edge of ice field as per c/p condition then time to start counting as per cp / slow steaming time i.e. difference between actual speed and normal laden speed, through the ice both inbound and outbound / any time spent stuck in ice both inbound and outbound / bunkers / tug-towage costs / ice breaker costs / ice dues / port dues. The costs will be calculated in accordance with the charter party terms and conditions 2) VAT on port costs/expenses not already included in the World Scale flat rate for the relevant loading port Buyers undertake to advise Sellers as soon as practically possible for any costs incurred, which are for Seller's account. 4.
