Terra shall deliver to the Administrative Agent, each Issuing Bank and each Lender promptly upon the mailing thereof to the shareholders of Terra or TNCLP generally or to holders of Subordinated Indebtedness or 1995 Terra Debt generally, copies of all financial statements and proxy statements so mailed.
