Common use of Share Certificates and Transfer Instruments Clause in Contracts

Share Certificates and Transfer Instruments. The Purchaser shall have received from Sellers share certificates representing the Purchased Shares (or duly executed affidavits of lost stock certificates and indemnities in forms and substance reasonably acceptable to the Purchaser), together with executed instruments of transfer in respect of the Purchased Shares in favor of the Purchaser (or its nominee) and in form reasonably acceptable for transfer on the books of the Company.

The Purchaser Seller shall have received from Sellers share the Shareholder certificates representing the Purchased Exchanged Shares (or duly executed affidavits of lost stock certificates and indemnities in forms form and substance reasonably acceptable to the PurchaserSeller), together with executed instruments of transfer in respect of the Purchased Exchanged Shares in favor of the Purchaser (or its nominee) Seller and in form reasonably acceptable for transfer on the books of the CompanySeller.
