Share Allocation. In consideration of the engagement and performance of the duties, Executive shall be afforded equity in the Company in the form of a grant of 5,000,000 shares of its total authorized share capital of 100,000,000 shares, issued pursuant to the Company’s 2012 Stock Plan. Executive’s shares in the Company shall be subject to the “Vesting Schedule” at Schedule A. Issuance of the shares shall be in accordance with the applicable Notice of Grant of Restricted Stock, to be executed between Executive and the Company in conjunction herewith.
