Share Allocation. The Participant has been selected to participate in the Plan and the Incentive Plan and to receive a contingent allocation of Performance Shares as described below. If the Performance Goal stated herein is satisfied at the end of the Performance Period specified below, a transfer of the Shares described below will occur during calendar year 2014: (a) Date of Grant of Performance Share Allocation: _______________.
