Common use of Severance Payments; Salary and Benefits Clause in Contracts

Severance Payments; Salary and Benefits. The Company agrees to provide Employee with the severance payments and benefits described in Section 4(b) of the Employment Agreement, payable at the times set forth in, and subject to the terms and conditions of, the Employment Agreement. In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

Severance Payments; Salary and Benefits. The Company agrees to provide Employee Executive with the severance payments and benefits described in Section 4(b) and/or Section 4(c) of the Employment Agreement, payable at the times set forth in, and subject to the terms and conditions of, the Employment Agreement. In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

The Company agrees to provide Employee Executive with the severance payments and benefits described in Section 4(b) [2(a)/2(b)] of the Employment Executive Agreement, payable at the times set forth in, and subject to the terms and conditions of, the Employment Executive Agreement. In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Executive Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) [2(a)/2(b)] of the Employment Executive Agreement, subject to and in accordance with the terms thereof.

In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

The Company agrees to provide Employee Executive with the severance payments and benefits described in Section 4(b) 4.5 of the Employment Agreement, payable at the times set forth in, and subject to the terms and conditions of, the Employment Agreement. In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide pay to Employee Executive all other payments or benefits described in Section 3(c) amounts of base salary through the Employment Agreement, subject to and in accordance with the terms thereofdate of termination.

In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

The Company agrees to provide Employee Executive with the severance payments and benefits described in Section 4(b5(j) of the Employment Agreement, payable at the times set forth in, and subject to the terms and conditions of, the Employment Agreement. In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee all other payments or benefits Executive the Amounts and Benefits described in Section 3(c5(j)(1) of the Employment Agreement, subject to and in accordance with the terms thereof.

The Company agrees to provide Employee Executive with the severance payments and benefits described in Section 4(b) Sections 3.3.2 and 3.4 of the Employment Agreement, vesting or payable at the times set forth in, and subject to the terms and conditions of, the Employment Agreement. In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) 5.1 of the Employment Agreement, subject to and in accordance with the terms thereof.

The Company agrees to provide Employee Executive with the severance payments and benefits described in Section 4(b) of the Employment Agreement, payable at the times set forth in, and subject to the terms and conditions of, of the Employment Agreement. In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

The Company agrees to provide Employee Executive with the severance payments and benefits described in Section 4(b) Sections 3.3.2, 3.4 and 3.7 of the Employment Agreement, vesting or payable at the times set forth in, and subject to the terms and conditions of, the Employment Agreement. In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) 5.1 of the Employment Agreement, subject to and in accordance with the terms thereof.

Severance Payments; Salary and Benefits. (a) The Company agrees to provide Employee Executive with the severance payments and benefits described in Section 4(b2(b) of the Employment Agreementbelow, payable at the times set forth in, and subject to the terms and conditions of, the Employment Agreementsuch Section. In addition, upon termination of Executive’s employment for any reason, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

The Company agrees to provide Employee Executive with the severance payments and benefits described in Section 4(b) or Section 4(c) of the Employment Agreement, as applicable, payable at the times set forth in, and subject to the terms and conditions of, the Employment Agreement. In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.

Severance Payments; Salary and Benefits. The Company agrees to provide Employee Executive with the severance payments and benefits described in Section 4(b) and/or Section 4(c) of the Employment Agreement (including, without limitation, an amount of cash equal to any Annual Bonus earned by Executive for the Company’s 2018 fiscal year in accordance with the terms of Section 4(b)(ii) of the Employment Agreement), payable at the times set forth in, and subject to the terms and conditions of, the Employment Agreement. In addition, to the extent not already paid, and subject to the terms and conditions of the Employment Agreement, the Company shall pay or provide to Employee Executive all other payments or benefits described in Section 3(c) of the Employment Agreement, subject to and in accordance with the terms thereof.
