SEVERANCE COMPENSATION TRIGGER. Executive will be entitled to severance compensation as set forth in section 3 ("Severance Compensation") in the event Executive's employment is terminated within two years after a Change in Control (i) by the Company without Cause, or (ii) by Executive within 90 days after Executive has knowledge of the occurrence of an event constituting Good Reason. Notwithstanding the foregoing, Executive will not be entitled to Severance Compensation in the event of a termination of employment on account of:
