SEVERANCE COMPENSATION TRIGGER. Executive will be entitled to severance compensation as set forth in section 3 ("Severance Compensation") in the event Executive's employment is terminated within two years after a Change in Control (i) by the Company without Cause, or (ii) by Executive within 90 days after Executive has knowledge of the occurrence of an event constituting Good Reason.
