SEVERALITY. If a provision of this Pledge Agreement becomes illegal, invalid, or unenforceable in any jurisdiction, that shall not affect:
(a) the validity or enforceability in that jurisdiction of any other provisions of this Pledge Agreement; or
(b) the validity or enforceability in other jurisdictions of that or any other provision of this Pledge Agreement. If any provision of this Pledge Agreement is or becomes prohibited or unenforceable in any jurisdiction, that shall not affect the validity or enforceability of any other provisions hereof or affect the validity or enforceability of such provision in any other jurisdiction. The prohibited or unenforceable provisions shall be replaced by new provisions reflecting the initial intention of the contracting parties.
SEVERALITY. Should any provision of this Agreement be unenforceable or prohibited by any applicable law, this Agreement shall be considered divisible as to such provision which shall be inoperative, and the remainder of this Agreement shall be valid and binding as though such provision were not included herein.
SEVERALITY. If a provision of this Agreement is deemed invalid by any law, rule, order or regulation of any government, or by the final determination of any state or federal court, such invalidity shall not affect the applicability of other provisions not held to be invalid. Where a provision referred to in this Article is declared by the competent authority to be invalid, illegal or unenforceable under any applicable law, to the extent thatunder applicable law, any invalid, illegal or unenforceable provision is deemed legitimately amended to comply with the intention of the parties.
SEVERALITY. If any part of this Agreement is deemed unenforceable by a court of law, the remainder of this Agreement shall remain in full force and effect.
