Severability Whenever Clause Samples
The Severability clause ensures that if any part of a contract is found to be invalid or unenforceable, the remainder of the agreement remains effective and binding. In practice, this means that if a specific provision is struck down by a court, the rest of the contract continues to operate as intended, without being affected by the invalidity of that single part. Severability Whenever possible, each provision of this Agreement shall be interpreted in such manner as to be effective and valid under applicable law; but if any provision of this Agreement should be prohibited or invalid under applicable law, such provision shall be ineffective to the extent of such prohibition or invalidity and the balance of this Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms unless such selective enforcement would destroy the basic intent and integrity of this Agreement.
Severability Whenever possible, each provision of this Contract shall be interpreted in such a manner as to be effective and valid under applicable law, but if any provision of this Contract or the application thereof to any person(s) or circumstances shall be deemed to be prohibited or invalid under such applicable law, such provision shall be ineffective only to the extent of such prohibition or invalidity, and such prohibition or invalidity shall not invalidate the remainder of such provision or the other provisions of this Contract.

Any arbitrator or court shall be authorized by the Parties to reform and “blue pencil” this Agreement in the least way necessary in order to make it enforceable and consistent, to the maximum extent possible, with the original intent of the Parties.
Severability Whenever possible, this Award shall be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Award shall be held to be prohibited by or invalid under applicable law, then (i) such provision shall be deemed amended to accomplish the objectives of the provision as originally written to the fullest extent permitted by law and (ii) all other provisions of this Award shall remain in full force and effect.
