Settlement of PSUs. Notwithstanding Section 1(d) ("Award, Vesting and Settlement of PSUs") of the Performance Stock Unit Agreement, due to exchange control regulations in Sri Lanka, the Participant is not entitled to receive any Shares upon settlement of the PSUs.
