The 'Services and Hardware' clause defines the scope and nature of services and physical equipment provided under the agreement. Services and Hardware. Dstny offers Services and sale of Hardware as detailed in one or more specific Agreements. The Agreement between Dstny and the Customer describes in detail the scope and selection of Services, including agreements on service level and operational reliability (Service Level Agreement (“SLA”), Appendix 4 to the Agreement) and/or Hardware.
Services and Hardware ipvision offers Services and sale of Hardware as detailed in one or more specific Agreements. The Agreement between ipvision and the Customer describes in detail the scope and selection of Services, including agreements on service level and operational reliability (Service Level Agreement (“SLA”), Appendix 4 to the Agreement) and/or Hardware.
Services and Hardware. 4.1 The Supplier shall, during the Term, supply the Hardware, provide the Services and make available the Documentation to the Client on and subject to the terms of this agreement.
4.2 The Supplier shall use commercially reasonable endeavours to make the Subscription Services available 24 hours a day, seven days a week, except for:
(a) planned maintenance at times that the Supplier will notify to the Client at least 7 days in advance; and
(b) unscheduled maintenance, of which the Supplier will use reasonable endeavours to give the Client at least 24 hours’ notice in advance. For the avoidance of doubt, the Supplier shall not be in breach of this clause 4.2 if the Subscription Services are generally available but certain functionality or facilities provided by the Subscription Services are not available due to an error in the Software. The resolution of any such error will be undertaken through the provision of the Support Services.
4.3 The Supplier will, at no additional cost to the Client, provide the Client with the Support Services. The Supplier may amend the content of its Support Services from time to time upon giving not less than 7 days’ written notice to the Client provided that such amendment does not materially reduce the Supplier’s Support Services commitments.
4.4 The Supplier may, from time to time, replace the then current release of the Software with a new release provided that the Supplier notifies the Client in writing of the changes effected by the new release at least 7 days before its introduction and the new release does not materially adversely affect the facilities or functions provided by the previous release.
4.5 Subject to the Client having paid the price for the Hardware in full, the Supplier shall use reasonable endeavours to deliver the Hardware to the Client by any date agreed in writing with the Client. Subject to using such endeavours, shall not be liable for any delay in delivery. Delivery shall take place at the Client’s address specified in Part 2 of Schedule 1.
4.6 The Client may reject any item of Hardware that is not in compliance with the warranty in clause 6.1(c) below provided that:
(a) written notice of rejection is given to the Supplier within 5 Business Days of delivery in the case of a defect apparent on normal visual inspection or, in the case of a latent defect, within a reasonable time of the latent defect having become apparent; and
(b) none of the circumstances mentioned in clause 6.2(b) below apply;

Services and Hardware. 4.1. Software services will be upgraded time to time with the starting of software.
4.2. Web platform, and application will be provided with the starting of software use.
4.3. Extra Development will be charged as per the development requirements. Ireava will charge development charges only for the extra development and it will be one-time payment.
