Common use of Separation Compensation Clause in Contracts

Separation Compensation. Provided that you adequately provide the Transition Services, then in exchange for your agreement to the general release and waiver of claims and covenant not to sue in this Agreement and as set forth in Exhibit A (the “Second Release”), to be signed no earlier than the Separation Date, and your other promises herein, the Company agrees as follows:

Provided that you adequately cooperatively and diligently provide the Transition ServicesServices as determined by the Company in good faith and in its sole discretion, then in exchange for your agreement to the general release and waiver of claims and covenant not to sue in this Agreement and as set forth in Exhibit A (the “Second Release”), to be signed no earlier than the Separation Date, and your other promises herein, the Company agrees as follows:

Provided that you adequately cooperatively and diligently provide the Transition ServicesServices as determined by the Company in good faith, then in exchange for your agreement to and non-revocation of the general release and waiver of claims and covenant not to sue in this Agreement and as xxx set forth in Exhibit A (the “Second Release”), to be signed no earlier than the Separation Date and no later than 7 days after the Separation Date, your agreement to provide the Advisory Services, and your other promises herein, the Company agrees as follows:follows (collectively referred to as the “Separation Compensation”):

Separation Compensation. Provided that you adequately cooperatively and diligently provide the Transition ServicesServices as determined by the Company in good faith and in its sole discretion, then and conditioned upon the approval of the Compensation Committee of the Company’s Board of Directors, in exchange for your agreement to the general release and waiver of claims and covenant not to sue in this Agreement and as set forth in Exhibit A (the “Second Release”), to be signed no earlier than the Separation Date, and your other promises herein, the Company agrees as follows:
