Borrowers shall have delivered to Administrative Agent a compliance certificate as evidence that the Organizational Documents of each Borrower Party include the provisions for bankruptcy remoteness set forth in Schedule 6.1.15 including independent director or member requirements, or otherwise acceptable to Administrative Agent.
