Common use of Sellers' Obligations to Obligors Clause in Contracts

Sellers' Obligations to Obligors. Anything herein to the contrary notwithstanding, (a) the Related Seller shall remain liable under the Contracts and the Related Security Documents to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed and the Contracts had not been sold to the Buyers, (b) the exercise by the Agent or any Buyer of any of the rights hereunder shall not release the Related Seller from any of its duties or obligations under the Contracts and the Related Security Documents, and (c) the Agent and the Buyer shall have no obligation or liability under the Contracts and the Related Security Documents by reason of this Agreement, nor shall the Agent or the Buyer be obligated to perform any of the obligations or duties of the Related Seller thereunder or to take any action to collect or enforce any claim for payment assigned hereunder. The Related Seller will at all times observe and perform, or cause to be observed and performed, all contractual undertakings of the Related Seller to the Obligor under each Contract and the Related Security Documents.

Anything herein to the contrary notwithstanding, (a) the Related applicable Originator and/or Seller shall remain liable under the Buyer Contracts and the Related Security Documents to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed and the Contracts Buyer Interests had not been sold to the Buyers, (b) the exercise by the Agent or any Buyer of any of the rights hereunder shall not release the Related Originators or Seller from any of its their duties or obligations under the Contracts and the Related Security DocumentsBuyer Contracts, and (c) the Agent and the Buyer shall have no obligation or liability under the Buyer Contracts and the Related Security Documents by reason of this Agreement, nor shall the Agent or the Buyer be obligated to perform any of the obligations or duties of the Related Seller or Originators thereunder or to take any action to collect or enforce any claim for payment assigned hereunder. The Related Originators and/or Seller will at all times observe and perform, or cause to be observed and performed, all contractual undertakings of the Related applicable Originator and/or Seller to the Obligor under each Contract and the Related Security DocumentsBuyer Contract.
