Common use of Seller's Authority For Binding Agreement Clause in Contracts

Seller's Authority For Binding Agreement. Seller is a duly authorized and validly existing limited partnership formed under the laws of State of New Jersey. Seller has full power, right and authority to own its properties, to carry on its business as now conducted, and to enter into and fulfill its obligations under this Agreement. Each of the persons executing this Agreement on behalf of Seller is authorized to do so. This Agreement is the valid and legally binding obligation of Seller, enforceable against Seller in accordance with its terms. The execution and delivery of this Agreement and compliance with its terms will not conflict with or result in the breach of any law, judgement, order, writ, injunction, decree, rule or regulation, or conflict with or result in the breach of any other agreement, document or instrument to which Seller is a party or by which it or the Property is bound or affected. The representation contained in this Section 5.1 shall be true at and as of Closing.
