Segregating Accounts Clause Samples
The Segregating Accounts clause requires that certain funds or assets be kept separate from other accounts or assets, typically to ensure they are not commingled with general funds. In practice, this means that a party, such as a trustee or service provider, must maintain distinct accounts for client monies or specific project funds, preventing their use for unrelated purposes. This clause serves to protect the interests of the account beneficiaries by reducing the risk of loss or misuse, and by making it easier to identify and recover the segregated assets if necessary.
Segregating Accounts. At Amazon’s election from time to time, Sun Country will promptly create separate accounts and issue separate invoices for Amazon and each Amazon Affiliate for which it provides Services and, to the extent applicable, each Third Party Shipper. The payment obligation under each such separate account and invoice is a separate obligation solely of Amazon, the Amazon Affiliate, or the Third Party Shipper as applicable, to which the invoiced Services were provided, and no other Person will have any obligation with respect to such account or under such invoice

At Amazon’s election from time to time, Airborne Global will promptly create separate accounts and issue separate invoices for Amazon and each Amazon Affiliate for which it provides Services and, to the extent applicable, each Third Party Shipper. The payment obligation under each such separate account and invoice is a separate obligation solely of Amazon, the Amazon Affiliate, or the Third Party Shipper as applicable, to which the invoiced Services were provided, and no other Person will have any obligation with respect to such account or under such invoice

At Amazon’s election from time to time, Hawaiian will promptly create separate accounts and issue separate invoices for Amazon and each Amazon Affiliate for which it provides Services and, to the extent applicable, each Third Party Shipper. Amazon shall be jointly and severally liable with the applicable Amazon Affiliate or Third Party Shipper for any payment obligation under each such separate account.
