Upon surrender of a Security that is redeemed in partpart (with, if the Company or the Trustee so requires, due endorsement by, or a written instrument of transfer in form satisfactory to the Company and the Trustee duly executed by, the Issuer Holder thereof), the Company shall execute and the Trustee shall authenticate for and deliver to the Holder of that Security (at the IssuerCompany’s expense) a new Security equal in principal amount to the unredeemed portion of the principal amount of the Security surrendered.

Securities Redeemed in Part. Upon surrender of a Security that is redeemed in part, the Issuer Company shall execute issue and the Trustee trustee shall authenticate for the Holder (at the Issuer’s expense) expense of the Company, a new Security of the same series equal in principal amount to the unredeemed portion of the Security surrendered.

Securities Redeemed in Part. Upon surrender of a Security that is redeemed in part, the Issuer Company shall execute and the Trustee shall authenticate for the Holder (at the IssuerCompany’s expense) a new Security equal in principal amount to the unredeemed portion of the Security surrendered.. Article 4

Securities Redeemed in Part. Upon surrender of a Security that is redeemed in partpart (with if the Company or the Trustee so reasonably require, due endorsement by, or a written instrument of transfer in form reasonably satisfactory to the Company and the Trustee duly executed by, the Issuer shall execute and Holder thereof or his attorney duly authorized in writing), the Trustee shall authenticate for the Holder (at the Issuer’s expense) a new Security equal in principal amount to the unredeemed portion of the Security surrendered.

Securities Redeemed in Part. Upon presentation and surrender of a Security that is redeemed in part, the Issuer Company shall execute and the Trustee shall authenticate for and deliver to the Holder (at the Issuer’s expense) a new Security equal in principal amount to the unredeemed portion of the Security surrendered, provided that each new Security will be in a principal amount of $1,000 or any integral multiple thereof.

Securities Redeemed in Part. Upon surrender of a Security of a Series that is redeemed in part, the Issuer Company shall execute issue and the Trustee Trustee, upon receipt of a Company Order, shall authenticate for the Holder (at the Issuer’s expenseexpense of the Company) a new Security of such Series equal in principal amount to the unredeemed portion of the such Security surrendered.

Securities Redeemed in Part. Upon surrender of a Security that is redeemed in part, the Issuer Company shall execute issue and the Trustee shall authenticate for the Holder (at the Issuer’s expense) expense of the Company a new Security equal in principal amount to the unredeemed portion of the Security surrendered. No Securities in denominations of $2,000 or less shall be redeemed in part.

Securities Redeemed in Part. Upon surrender of a Security that is redeemed in part, the Issuer Company shall execute and the Trustee shall authenticate for the Holder thereof (at the Issuer’s Company's expense) a new Security Security, equal in a principal amount to the unredeemed portion of the Security surrendered.

Securities Redeemed in Part. Upon surrender and cancelation of a Security that is redeemed in part, the Issuer Company shall execute and the Trustee shall authenticate for the Holder (at the Issuer’s Company's expense) a new Security equal in principal amount to the unredeemed portion of the Security surrendered.

Securities Redeemed in Part. Upon surrender of a Security that is redeemed in part, the Issuer Company shall execute and the Trustee shall authenticate for the Holder (at the Issuer’s Company's expense) a new Security equal in principal amount Accreted Value to the unredeemed portion of the Security surrendered.

Securities Redeemed in Part. Upon surrender of a Security that is redeemed in part, the Issuer Company shall execute and issue and, upon receipt of a Company Order, the Trustee shall authenticate for the Holder (at the Issuer’s expense) expense of the Company a new Security equal in principal amount to the unredeemed portion of the Security surrendered.

Securities Redeemed in Part. Upon presentation and surrender of a Security that is redeemed in part, the Issuer Company shall execute and the Trustee shall authenticate for and deliver to the Holder (at the Issuer’s expense) Holder, without charge, a new Security or Securities of authorized denominations as requested by such Holder in aggregate Accreted Principal Amount equal in principal amount to the unredeemed portion of the Security surrendered.

Securities Redeemed in Part. Upon surrender of a Security that is redeemed in part, the Issuer Company shall execute and and, upon the Company's written request, the Trustee shall authenticate for the Holder (at the Issuer’s expense) expense of the Company a new Security equal in principal amount to the unredeemed portion of the Security surrendered.

Securities Redeemed in Part. Upon surrender of a Security that is redeemed pursuant to Section 3.07 in part, the Issuer Company shall execute and the Trustee shall authenticate authenticate, upon the receipt of a written order of the Company, for the Holder (at the IssuerCompany’s expense) a new Security equal in principal amount to the unredeemed portion of the Security surrendered.

Securities Redeemed in Part. Upon the surrender to the Paying Agent of a Security that is redeemed in part, the Issuer Company shall execute and the Trustee shall authenticate for the Holder (at the Issuer’s expense) a new Security equal in principal amount to the principal amount of the unredeemed portion of the Security surrendered.

Securities Redeemed in Part. Upon surrender of a ----------------------------------------- Security that is redeemed in part, the Issuer Company shall execute and the Trustee shall authenticate for and deliver to the Holder (at the Issuer’s expense) a new Security in an authorized denomination equal in principal amount Principal Amount at Maturity to the unredeemed portion of the Security surrendered.

Upon surrender of a Security that is redeemed in part, the Issuer Company shall execute and the Trustee shall authenticate for the Holder (at the Issuer’s Company's expense) a new Security equal in principal amount to the unredeemed portion of the Security surrendered.. ARTICLE 4

Securities Redeemed in Part. Upon surrender of a Security ---------------------------- that is redeemed in part, the Issuer Company shall execute and the Trustee shall shall, upon receipt of a written order of the Company in the form of an Officer's Certificate, authenticate for the Holder (at the Issuer’s Company's expense) a new Security equal in principal amount to the unredeemed portion of the Security surrendered.
