Common use of Securities Law Filings Clause in Contracts

Securities Law Filings. Each of the Purchasers shall timely file all forms, reports and documents required to be filed by such Purchaser with the SEC (including filing any required statements of beneficial ownership on Schedule 13D or Schedule 13G and such filings as may be required under Section 16 of the Exchange Act).

Securities Law Filings. Each of the Purchasers The Purchaser shall timely file all forms, reports and documents (and any amendments thereto) required to be filed by such Purchaser with it under the SEC Securities Act, the Exchange Act or otherwise required by the Commission in respect of the transactions contemplated hereunder and in respect of the Shares (including filing any required statements of beneficial ownership on Schedule 13D or Schedule 13G and such filings as may be required under pursuant to Section 16 13(d) of the Exchange Act).

Each of The Purchaser and the Purchasers Company shall timely file all forms, reports and documents required to be filed by such Purchaser each with the SEC (including including, if necessary, filing any required statements of beneficial ownership on Schedule 13D or Schedule 13G and such filings as may be required under Section 16 of the Exchange Act)) as a result of the issuance of the Subscription Shares, provided that each Party shall provide the other with reasonable chance to review the relevant documents prior to the filing.
