Section Authority; Enforceability Sample Clauses

Section Authority; Enforceability. Seller has all requisite corporate power and authority to own and operate its assets and properties and to carry on its business as presently conducted, to enter into this Agreement and to perform its other obligations under this Agreement. The execution, delivery and performance of this Agreement and the transactions contemplated hereby have been duly and validly authorized by all requisite corporate action on the part of Seller. This Agreement has been duly and validly executed and delivered by Seller. There is no action, claim, suit, arbitration, investigation or proceeding pending or threatened against Seller which purports to affect the validity or enforceability of this Agreement or that seeks to prohibit, restrict or delay the consummation of the transaction contemplated hereby.
