Section 6.01(g. (i) of the Financing Agreement is hereby amended by deleting the last sentence thereof in its entirety and substituting the following language therefor: Since the last day of the fiscal year of Parent and its Subsidiaries ended on or about December 31, 2007, no event or development has occurred that has had or could have, either individually or in the aggregate, a Material Adverse Effect.
