Section 21.8. 33 Employees transferring from one (1) classification to another shall be placed at the step closest to their 34 current hourly base rate without reducing their hourly rate. 36 Section 21.9. 37 Employees substituting in a higher paid position will automatically receive one ($1.00) dollar per hour 38 above their base pay. Prior approval is not required if substitution will not exceed three (3) workdays. 39 Any employee requested to work in a lower paid position shall receive their regular rate of pay. 40
Section 21.8. This Agreement is intended to create a voting trust pursuant to and subject to Section 218 of the Delaware General Corporation Law. If for any reason such voting trust is determined to be invalid or unenforceable, this Agreement and the relationship of the parties hereunder shall be deemed to be and shall be reconstituted as a voting agreement under Section 218(c), and all provisions of this Agreement shall apply to the maximum extent possible to effectuate the intention of the parties that the substantive provisions hereof shall govern the voting of Shares by or for the parties hereto.
Section 21.8. The Holders and the Company intend this Section 3 to constitute an enforceable voting agreement under Section 218(c) of the Delaware General Corporation Law.

Section 21.8. 2 With administrative approval, classified employees are encouraged to apply for and work specific 3 events that benefit the school district. Those can include supervising/crowd control at sporting events, 4 school dances, concerts and other activities as identified by the district administration. Section 21.8. Section 2.18 of the Credit Agreement is hereby amended by replacing the ultimate sentence thereof with the following: Furthermore, without limitation of the foregoing and notwithstanding anything in this Agreement or implied by law to the contrary, no MLP Entity shall have any obligation to cause any Credit Party to take or refrain from taking any action pursuant to this Agreement and shall have no responsibility for, or liability as a result of, any action taken or not taken by any Credit Party pursuant to this Agreement.
