Section 1090 Clause Samples

Section 1090. The Parties acknowledge and represent that the board of directors of each Party has approved the terms of this Agreement and the other Transaction Documents and the consummation of the transactions contemplated herein and therein and that such approval is sufficient to render the restrictions on business combinations set forth in Section 1090.3 of the OGCA inapplicable to the transactions contemplated by the Transaction Documents.
