Second Quarter. For the second quarter of each Agreement Year, the payment shall be equal to one half (1/2) of the applicable annual Minimum Royalties or the amount of actual Royalties calculated from Net Sales for the first two (2) quarters, whichever is greater, less Royalties actually paid by Licensee for the prior quarter;
