Common use of Second Day Orders Clause in Contracts

Second Day Orders. All material “second day orders” and all related pleadings intended to be entered on or prior to the date of entry of the Final DIP Order and any order establishing material procedures for the administration of the Cases, shall have been entered by the Bankruptcy Court and shall be Final Orders, and (y) all pleadings related to procedures for approval of significant transactions, including, without limitation, asset sale procedures, regardless of when filed or entered, shall be reasonably satisfactory in form and substance to the Administrative Agent (solely with respect to its own treatment) and the Required Lenders, or this condition is waived by the Administrative Agent (solely with respect to its own treatment) and satisfactory to the Required Lenders. The Administrative Agent and Required Lenders acknowledge that the form of such orders substantially in the forms filed within one day of the Petition Date are acceptable; provided, that notwithstanding anything herein to the contrary, any right of approval or consent of the Administrative Agent pursuant to this Section 4.02(c) shall be solely limited to its own treatment under the “second day orders” and pleadings described herein.

The Administrative Agent and Required Lenders acknowledge that the form of such orders substantially in the forms filed within one day of on the Petition Date are reasonably acceptable; provided, that notwithstanding anything herein to the contrary, any right of approval or consent of the Administrative Agent pursuant to this Section 4.02(c5.2(c) shall be solely limited to its own the treatment of the Agents under the “second day orders” and pleadings described herein.
