Common use of SEC Effectiveness Clause in Contracts

SEC Effectiveness. If the Registration Statement has not yet ----------------- been declared effective under the Act, the Company will use its best efforts to cause the Registration Statement to become effective under the Act as promptly as possible. If the Registration Statement has become or becomes effective under the Act with a form of prospectus omitting Rule 430A Information, or filing of the Prospectus is otherwise required under Rule 424(b) of the Regulations, the Company will file the Prospectus, properly completed, pursuant to Rule 424(b) of the Regulations within the time period prescribed and will provide evidence satisfactory to you of such timely filing.
