Common use of SEALED BIDS Clause in Contracts

SEALED BIDS. Four▇▇▇▇ ▇▇▇ll have the right to purchase all, but not less than all, of the Offered Assets, which right shall be exercisable by Four▇▇▇▇'▇ ▇▇▇ivery of a Four▇▇▇▇ ▇▇▇led Bid to the Escrow Agent-during the Offer Period. The Escrow Agent shall treat the Four▇▇▇▇ ▇▇▇led Bid as Confidential Information of Four▇▇▇▇ ▇▇▇hin the meaning of this Agreement, and shall not disclose to Iomed, except in accordance with this Section 7.02(b), the contents of the Four▇▇▇▇ ▇▇▇led Bid; provided, however, that the Escrow Agent shall notify Iomed of the receipt of such Four▇▇▇▇ ▇▇▇led Bid. If Four▇▇▇▇ ▇▇▇mits a Four▇▇▇▇ ▇▇▇led Bid during the Offer Period, then Iomed shall, no later than fourteen (14) days of receipt by the Escrow Agent of the Four▇▇▇▇ ▇▇▇led Bid, deliver to the Escrow Agent an Iomed Sealed Bid. Upon receipt of the Iomed Sealed Bid, the Escrow Agent shall open each of the sealed bids submitted by the Parties and shall notify, in writing, the Parties of the respective amounts of the Four▇▇▇▇ ▇▇▇led Bid and the Iomed Sealed Bid and of the Floor Price.
