SEALED BIDS. Four▇▇▇▇ ▇▇▇ll have the right to purchase all, but not less than all, of the Offered Assets, which right shall be exercisable by Four▇▇▇▇'▇ ▇▇▇ivery of a Four▇▇▇▇ ▇▇▇led Bid to the Escrow Agent-during the Offer Period. The Escrow Agent shall treat the Four▇▇▇▇ ▇▇▇led Bid as Confidential Information of Four▇▇▇▇ ▇▇▇hin the meaning of this Agreement, and shall not disclose to Iomed, except in accordance with this Section 7.02(b), the contents of the Four▇▇▇▇ ▇▇▇led Bid; provided, however, that the Escrow Agent shall notify Iomed of the receipt of such Four▇▇▇▇ ▇▇▇led Bid. Where specified in bidding documents, factors such as discounts, transportation cost, and life cycle costs must be considered in determining which bid is lowest. Payment discounts will only be used to determine the low bid when prior experience indicates that such discounts are usually taken advantage of; and (E) Any or all bids may be rejected if there is a sound documented reason.
