Common use of SCOPE OF ASSIGNMENT Clause in Contracts

SCOPE OF ASSIGNMENT. The rights of an assignee under Section 9.1 shall be the same rights granted to the Stockholder under this Agreement, except that in no event shall the Company's obligations hereunder be increased due to any such assignment. After any such assignment, the assigning Holder shall retain its rights under this Agreement with respect to all other Registrable Common Stock owned by the assigning Holder.

In connection with any such assignment, the term "Stockholder" as used herein shall, where appropriate to assign the rights and obligations of the assigning Stockholder hereunder to such assignee, be deemed to refer to the assignee. After any such assignment, the assigning Holder Stockholder shall retain its rights under this Agreement with respect to all other Registrable Common Stock owned by the assigning Holdersuch Stockholder.
