Common use of Schwab and GWL Clause in Contracts

Schwab and GWL. A are hereby expressly put on notice of the limitation of liability as set forth in the Declarations of Trust of the Fund and agree that, except as otherwise provided herein, the obligations assumed by the Fund pursuant to this Agreement shall be limited in any case to the Fund and its assets and neither Schwab nor GWL&A shall seek satisfaction of any such obligation from the shareholders of the Fund (solely by reason of their status as such) the Trustees, officers, employees or agents of the Fund, or any of them.

A are hereby expressly put on notice of the limitation of liability as set forth in the Declarations of Trust Instrument of the Fund and agree that, except as otherwise provided herein, that the obligations assumed by the Fund Fund, the Distributor and the Adviser pursuant to this Agreement shall be limited in any case to the Fund Fund, Distributor and its Adviser and their respective assets and neither Schwab nor GWL&A shall seek satisfaction of any such obligation from the shareholders of the Fund (solely by reason of their status as such) Fund, the Distributor or the Adviser, the Trustees, officers, employees or agents of the Fund, Distributor or Adviser, or any of them.

A are hereby expressly put on notice of the limitation of liability as set forth in the Declarations Articles of Trust Incorporation of the Fund and the Adviser and agree that, except as otherwise provided herein, that the obligations assumed by the Fund and the Adviser pursuant to this Agreement shall be limited in any case to the Fund and its Adviser and their respective assets and neither Schwab nor GWL&A shall seek satisfaction of any such obligation from the shareholders of the Fund (solely by reason of their status as such) or the Adviser, the Trustees, officers, employees or agents of the FundFund or Adviser, or any of them, except to the extent permitted under this Agreement.
