Schedule for Project Development. Although the nature of this long-term project prevents Developer from providing exact completion dates, the general phases of construction and Development with respect to the Property are described in Exhibit C, attached hereto and incorporated by reference herein. The Parties acknowledge that the Developer intends to develop the Project in phases. The failure of the Developer to meet a commencement or completion date shall not, in and of itself, constitute a material breach of this Agreement, but must be judged based upon the totality of the circumstances. If the Developer requests modifications of the dates set forth above and is able to demonstrate and establish there is good cause to modify these dates, these dates must be modified by the local government.
