Satisfaction of Company SPAs. Each of the Company SPAs shall be in full force and effect and the conditions to closing contained in each of the Company SPAs (other than the conditions relating to the Closing hereunder) shall have been satisfied or waived and the consideration required under the Company SPAs shall have been deposited in the amounts set forth in the Company SPAs with an escrow agent acceptable to the Seller pursuant to an escrow agreement acceptable to the Seller, and all conditions to the release of such amounts from escrow shall have been satisfied or waived (other than the conditions relating to the Closing hereunder).
