Common use of Sanctions; Anti-Corruption Laws Clause in Contracts

Sanctions; Anti-Corruption Laws. (a) Neither the Borrower nor any Subsidiary, nor, to the knowledge of the Borrower, any director, officer or employee thereof, is an individual or entity that is: (i) currently the subject or target of any Sanctions; (ii) included on OFAC’s List of Specially Designated Nationals, HMT’s Consolidated List of Financial Sanctions Targets and the Investment Ban List, or any similar list enforced by the United States federal government (including, without limitation, OFAC), the European Union or Her Majesty’s Treasury; or (iii) located, organized or resident in a Designated Jurisdiction.

(a) Neither the Borrower any Loan Party nor any Subsidiary, nor, to the knowledge of the Borrowerany Loan Party, any director, officer or employee thereof, is an individual or entity that is: (i) currently the subject or target of any Sanctions; (ii) included on OFAC’s List of Specially Designated Nationals, HMT’s Consolidated List of Financial Sanctions Targets and the Investment Ban List, or any similar list enforced by the United States federal government (including, without limitation, OFAC), the European Union or Her Majesty’s Treasury; or (iii) located, organized or resident in a Designated Jurisdiction.

(a) Neither the Borrower Parent Guarantor, nor any Subsidiaryof its Subsidiaries, nor, to the knowledge of the BorrowerParent Guarantor, any director, officer or employee thereof, is an individual or entity that is: is (ia) currently the subject or target of any Sanctions; , (iib) included on OFAC’s List of Specially Designated Nationals, HMT’s Consolidated List of Financial Sanctions Targets and the Investment Ban List, or any similar list enforced by the United States federal government (including, without limitation, OFAC), the European Union or Her Majesty’s Treasury; Treasury or (iiic) located, organized or resident in a Designated Jurisdiction.
