Sale of LLC Membership Interest. For the Purchase Price, and subject to the terms and conditions herein stated, on the Closing Date the Sellers shall sell, assign, transfer and deliver to the Purchaser, and the Purchaser shall purchase and acquire from the Sellers, all of the Purchased Units.
