SALE AND PURCHASE OF SALE SHARES. Subject to the terms and conditions of this Agreement, the Vendor, as legal and beneficial owner, shall sell the Sale Shares to the Purchaser and the Purchaser shall purchase the same from the Vendor free from all Encumbrances and third party rights of any kind and together with all rights now or hereafter attaching thereto including the right to receive all dividends and distributions declared, made or paid on or after the Completion Date.

SALE AND PURCHASE OF SALE SHARES. Subject to 2.1. On the terms and subject to the conditions of this AgreementAgreement (including satisfaction (or waiver where applicable) of the conditions set out in Clause 3), the VendorSeller shall sell, as legal and beneficial owner, shall sell the Sale Shares to the Purchaser and the Purchaser shall purchase purchase, the same from the Vendor Sale Shares, free from all Encumbrances and third party rights of any kind and together Encumbrances, with all rights now or hereafter then attaching thereto to them including the right to receive all distributions and dividends and distributions declared, paid or made or paid on or after in respect of the Sale Shares with effect from the Completion Date.

SALE AND PURCHASE OF SALE SHARES. Subject to 2.1. SALE AND PURCHASE OF SALE SHARES. SALE AND PURCHASE OF SALE SHARES. 2.1 Subject to the terms and conditions of this Agreement, the Vendor, as legal and beneficial owner, Vendors shall sell the Sale Shares with full title guarantee to the Purchaser and the Purchaser shall purchase the same from the Vendor Vendors the Sale Shares free from all Encumbrances and third party rights of any kind and together with all rights rights, benefits and entitlements now or hereafter attaching thereto as at Completion including the right to receive without limitations, all bonus, rights, dividends and distributions declared, declared and unpaid or made or paid on or after the Completion Datein respect thereof.

Subject to the terms and conditions of this Agreement, the VendorSeller, as legal and beneficial owner, shall sell the Sale Shares to the Purchaser Buyer and the Purchaser Buyer shall purchase the same from the Vendor Seller free from all Encumbrances and third party rights of any kind and together with all rights now or hereafter attaching thereto including the right to receive all dividends and distributions declared, made or paid on or after the Completion Date.

SALE AND PURCHASE OF SALE SHARES. SALE AND PURCHASE OF SALE SHARES. Subject to 2.1 On the terms and conditions of this Agreement, the Vendor, as legal and beneficial owner, Seller shall sell and the Buyer shall buy, with effect from Completion, the Sale Shares to the Purchaser and the Purchaser shall purchase the same from the Vendor with full title guarantee, free from all Encumbrances and third party rights of any kind and together with all rights now that attach (or hereafter attaching thereto including may in the future attach) to them including, in particular, the right to receive all dividends and distributions declared, made or paid on or after the Completion Datedate of this Agreement.

SALE AND PURCHASE OF SALE SHARES. Subject 2.1 On and subject to the terms and conditions of this Agreement, the VendorSeller agrees to sell, as legal and beneficial owner, shall sell the Sale Shares to the Purchaser and the Purchaser shall purchase agrees to purchase, the same from the Vendor Sale Shares, free from all Encumbrances and from all other rights exercisable by or claims by third party rights of any kind parties as at Completion and together with all rights now attaching or hereafter attaching thereto accruing to them as at Completion (including the right to receive all dividends and distributions declared, paid, made or paid accruing in respect of the Sale Shares on or after the Completion Date).

SALE AND PURCHASE OF SALE SHARES. Subject to the terms and conditions of this Agreement, the Vendor, as legal and beneficial owner, shall sell the Sale Shares to the Purchaser in the respective proportions set against their names in Schedule 2 and the Purchaser shall purchase the same from the Vendor free from all Encumbrances and third party rights of any kind and together with all rights now or hereafter attaching thereto including the right to receive all dividends and distributions declared, made or paid on or after the Completion Date.

Subject to the terms and conditions of this Agreement, the VendorVendor shall sell, as legal and beneficial owner, shall sell the Sale Shares to the Purchaser and the Purchaser relying on the Warranties and other undertakings contained in this Agreement shall purchase purchase, the same from the Vendor Sale Shares, free from all Encumbrances and third party rights of any kind and together with all rights and advantages now or and hereafter attaching thereto including the right to receive all dividends and distributions declared, made or paid on or after the Completion Dateas at Completion.

SALE AND PURCHASE OF SALE SHARES. Subject to the terms and conditions of this Agreement, the VendorVendor shall, on Completion, sell as legal and beneficial owner, shall sell the Sale Shares owner and transfer to the Purchaser Purchaser, and the Purchaser shall purchase the same from the Vendor Vendor, all of the rights, title and interest in and to the Sale Shares, free from and clear of all Encumbrances and third party rights of any kind and Encumbrances, together with all rights rights, dividends, entitlements and benefits now or and hereafter attaching thereto including the right to receive all dividends and distributions declared, made or paid on or after the Completion Datethereto.

SALE AND PURCHASE OF SALE SHARES. Subject to 2.1 The Seller shall at Completion sell and the terms Purchaser (relying on the obligations of the Seller and conditions of the Warrantors’ Warranties under this Agreement) shall purchase, the Vendor, as entire legal and beneficial ownerownership, shall sell in the Sale Shares to the Purchaser and the Purchaser shall purchase the same from the Vendor Shares, free from all Encumbrances and third party rights of any kind Encumbrance and together with all rights now or hereafter in the future attaching thereto to them (including the right to receive all dividends and dividends, distributions or any return of capital declared, made or paid on or after the Completion Datedate of this Agreement) on the terms and subject to the conditions of this Agreement.
