SALE AND PURCHASE OF FUNDING NOTE. Subsidiary will issue and sell to Fr▇▇▇▇▇ ▇ac and, subject to the terms and conditions of this Agreement, Fr▇▇▇▇▇ ▇ac will purchase from Subsidiary at the Closing provided for in Section 2.3 the Funding Note in the principal amount of $249,324,595, at the purchase price of $237,927,630, plus accrued interest thereon from September 1, 1995 to (but excluding) the date of Closing. The Funding Note shall be secured by the Collateral.
