Common use of Safeguards Clause in Contracts

Safeguards. Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law.

Safeguards. (a) Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper or electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. Business Associate shall maintain use appropriate safeguards administrative, physical, and technical safeguards, including, among others, policies and procedures regarding the protection of PHI and/or ePHI, and the provisions of training on such policies and procedures to ensure applicable employees, independent contractors, and volunteers, that reasonably and appropriately protect the confidentiality, integrity, and availability of the PHI is not used and/or ePHI that Business Associate creates, receives, maintains, or disclosed other than as provided by this Agreement or as Required by Lawtransmits on behalf of Covered Entity.

Safeguards. (a) Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper or electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. Business Associate shall maintain implement and use appropriate safeguards to ensure that prevent the use or disclosure of PHI is not used or disclosed other than as provided for by this Agreement Agreement. Business Associate shall identify in writing upon request from Covered Entity all of the safeguards that it uses to prevent impermissible uses or as Required by Lawdisclosures of PHI.

Safeguards. Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. Business Associate shall agrees to maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required required by Lawlaw. Business Associate shall implement, and shall ensure that its agents or subcontractors implement, administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. Business Associate shall maintain must use appropriate safeguards to ensure that prevent use or disclosure of the PHI is not used or disclosed other than as provided for by this Agreement and will implement administrative, physical, and technical safeguards (including written policies and procedures) that reasonably and appropriately protect the confidentiality, integrity, and availability of PHI and E- PHI that it creates, receives, maintains, or transmits on behalf of Covered Entity as Required required by Lawthe HIPAA Privacy and Security Rules.

Safeguards. Business Associate agrees to implement and use appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this Agreement. Business Associate shall maintain a comprehensive written information privacy and security program that includes administrative, technical and physical safeguards appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Lawthe size and complexity of the Business Associate’s operations and the nature and scope of its activities.

Safeguards. Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement Addendum or as Required by Law. Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. a. Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

Business Associate shall maintain implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity and availability of PHI and shall ensure that any subcontractor or agent that receives PHI from Business Associate also agrees to implement reasonable and appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Lawprotect the privacy and security of PHI.

Business Associate agrees to establish, develop, implement, maintain, and use appropriate Administrative, Technical, and Physical Safeguards to preserve the Integrity, Confidentiality, and Availability of, and to prevent the non-permitted use or disclosure of, Electronic PHI created for or received from (or on behalf of) the Covered Entity. Business Associate further agrees that with respect to Electronic PHI, these Safeguards, at the minimum, shall maintain appropriate safeguards meet the requirements of the HIPAA Security Standards applicable to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Lawa business associate.

Safeguards. [i] Business Associate shall maintain appropriate safeguards as necessary to ensure that PHI is not used or disclosed other than except as provided for by this Agreement Agreement. [ii] Business Associate shall implement administrative, physical and technical safeguards that reasonably protect the confidentiality, integrity and availability of PHI that it creates, receives, maintains or transmits on behalf of Covered Entity as Required required by Lawthe HIPAA Security and Privacy Rule.

Safeguards. Business Associate shall maintain use any and all appropriate administrative , physical and technical safeguards to ensure that (1) prevent use or disclosure of Covered Entity’s PHI is not used or disclosed other otherwise than as provided by this Agreement or as Required by LawAgreement, and (2) protect the confidentiality, integrity, and availability of any electronic PHI.

Business Associate shall maintain use appropriate safeguards administrative, physical, and technical safeguards, including, among others, policies and procedures regarding the protection of PHI and/or ePHI, and the provisions of training on such policies and procedures to ensure applicable employees, independent contractors, and volunteers, that reasonably and appropriately protect the confidentiality, integrity, and availability of the PHI is not used and/or ePHI that Business Associate creates, receives, maintains, or disclosed other than as provided by this Agreement or as Required by Lawtransmits on behalf of Covered Entity.

Safeguards. Business Associate shall maintain employ appropriate safeguards administrative, technical and physical safeguards, consistent with the size and complexity of Business Associate’s operations, to ensure that protect the confidentiality of PHI is not used and to prevent the use or disclosed other than as provided by disclosure of PHI in any manner inconsistent with the terms of this Agreement or as Required by LawAgreement.

Safeguards. Business Associate will implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity and availability of the PHI it creates, receives, maintains or transmits on behalf of Covered Entity, and that reasonably prevent the use or disclosure of the PHI except as described in this Addendum. Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than comply, as provided by this Agreement or as Required by Lawapplicable, with the requirements of the Security Rule.

Safeguards. Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required required by Law. Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. The Business Associate agrees to implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of the PHI that it creates, receives, stores, maintains or transmits on behalf of the Covered Entity pursuant to this Agreement or any relevant agreement, and shall maintain appropriate safeguards to ensure that prevent the use or disclosure of Covered Entity’s PHI is not used or disclosed other than as provided by for in this Agreement or as Required required by Lawlaw.

Safeguards. Business Associate shall maintain agrees to implement and use appropriate administrative, physical and technical safeguards to ensure (a) prevent use or disclosure of PHI; and (b) reasonably protect the confidentiality, integrity, and availability of the ePHI that PHI is not used Business Associate creates, receives, maintains, or disclosed other than as provided by transmits on behalf of Covered Entity. Such safeguards include a written information security policy, a response plan for Security Incidents, periodic security awareness training, and confidentiality/nondisclosure agreements with those independent subcontractors and consultants with which Business Associate has delegated duties under this Agreement or as Required by LawAgreement.

Safeguards. Business Associate shall is required to implement and maintain appropriate administrative, physical, and technical safeguards with respect to electronic PHI, to prevent use or disclosure of PHI other than as provided for by this Agreement, in accordance with Subpart C of 45 C.F.R. Part 164 that reasonably and appropriately protect the confidentiality, integrity, and availability of PHI and ensure that such PHI is not used received, used, accessed, stored, transmitted, or disclosed other than as provided by this Agreement or as Required required by Lawlaw.

Safeguards. Business Associate shall maintain implement appropriate administrative, physical and technical safeguards to ensure that prevent the use or disclosure of Covered Entity PHI is not used or disclosed for any purpose other than as provided those permitted by this Agreement or as Required by LawAgreement.

Safeguards. The Business Associate shall maintain develop and use appropriate procedural, physical and electronic safeguards to ensure that protect against the use or disclosure of PHI is not used or disclosed other than as provided by this Agreement the Privacy Rule. The Business Associate will limit any use, disclosure or as Required by Lawrequest for use or disclosure of PHI to the minimum amount necessary to accomplish the intended purpose of the use, disclosure or request in accordance with the requirements of the Privacy Rule.

Safeguards. Business Associate shall maintain implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity and availability of PHI and shall ensure that any subcontractor or agent that receives PHI from Business Associate agrees to implement reasonable and appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Lawprotect the privacy and security of PHI.

Safeguards. Business Associate shall maintain use appropriate safeguards to ensure prevent use or disclosure of PHI, including the implementation of administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of electronic PHI is not used that it creates, receives, maintains, or disclosed other than as provided by this Agreement or as Required by Lawtransmits on behalf of Covered Entity in accordance with the Security Rule.

Safeguards. Business Associate shall maintain appropriate implement and use administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of PHI, and comply with the applicable requirements of the Security Rule with respect to ensure that Electronic PHI is not used to prevent the use or disclosed disclosure of such PHI other than as provided for by this Agreement or as Required by LawBAA.

Safeguards. Business Associate shall maintain employ appropriate safeguards administrative, technical and physical safeguards, consistent with the size and complexity of Business Associate’s operations, to ensure that protect the confidentiality of PHI is not used and to prevent the use or disclosed disclosure of PHI in any manner inconsistent with the terms of this Agreement. Business Associate shall comply, where applicable, with Subpart C of 45 C.F.R. Part 164 with respect to electronic PHI to prevent use or disclosure of such electronic PHI other than as provided for by this Agreement or as Required by LawAgreement.

Safeguards. Business Associate shall maintain agrees to implement and use appropriate administrative, physical and technical safeguards to ensure (a) prevent use or disclosure of PHI; and (b) reasonably protect the confidentiality, integrity, and availability of the ePHI that PHI is not used Business Associate creates, receives, maintains, or disclosed other than as provided by transmits on behalf of Covered Entity. Such safeguards include a written information security policy, a response plan for Security Incidents, periodic security awareness training, and confidentiality/nondisclosure agreements with those independent subcontractors and consultants with which Business Associate has delegated duties under this Agreement or as Required by LawBAA.

Business Associate shall maintain agrees to use reasonable and appropriate safeguards to ensure that prevent use or disclosure of PHI is not used or disclosed other than as provided for by the Terms of Service, this Agreement or as Required by Law. Business Associate agrees to comply with the Security Rule, to the extent applicable, and agrees to appropriately protect the confidentiality, integrity and availability of ePHI that it receives, maintains, transmits or creates on behalf of Covered Entity.

Safeguards. Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required required by Lawlaw. Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any electronic PHI (“ePHI”) it creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. Business Associate shall maintain agrees to use reasonable and appropriate safeguards to ensure that prevent use or disclosure of PHI is not used or disclosed other than as provided for by the Service Agreements, this Agreement or as Required by Law. Business Associate agrees to comply with the Security Rule, to the extent applicable, and agrees to appropriately protect the confidentiality, integrity and availability of ePHI that it receives, maintains, transmits or creates on behalf of Covered Entity.

Safeguards. Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required required by Law. Business Associate shall implement administrative, physical and technically sound safeguards, equivalent to encryption, that reasonably and appropriately protect the confidentiality, integrity, and availability of any electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. Business Associate shall maintain agrees to use appropriate safeguards designed to ensure that prevent Use or Disclosure of the PHI is not used or disclosed other than as provided for by this Agreement or Exhibit. Business Associate agrees to implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity and availability of electronic PHI as Required required by Lawthe Security Rule.

Safeguards. Business Associate shall is required to maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement agreement or as Required required by Lawlaw.
